1. Agreement to Terms

By accessing or using Darphiz's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Darphiz provides software development, design, and consulting services. The specific scope, deliverables, and terms for each project will be outlined in a separate service agreement or statement of work.

The Darphiz name, logo, and branding are our trademarks and may not be used without our written permission.

5. Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise stated:

• Invoices are due within 14 days of receipt
• Late payments may incur additional fees
• We reserve the right to pause work on overdue accounts

6. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Darphiz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

8. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be error-free or uninterrupted.

9. Termination

Either party may terminate a service agreement with written notice as specified in the project agreement. Upon termination, you remain responsible for any outstanding payments for work completed.

10. Indemnification

You agree to indemnify and hold Darphiz harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Governing Law

These terms are governed by and construed in accordance with the laws of Nigeria. Any disputes shall be resolved in the courts of Nigeria.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of our services constitutes acceptance of the modified terms.
